Terms & Conditions

You agree, acknowledge, and warrant that you are eligible and competent to enter in this legally binding agreement with TeamLogic and be bound by these Terms, as per the provisions of the Indian Contract Act, 1872 (“Act”). If you are not competent to be bound by these Terms as per the provisions of the Act or disqualified from doing so by any other applicable law, please immediately terminate your use of the Platform.

You agree, acknowledge, and warrant that all information provided by you to us on the Platform, is true, accurate and complete. We shall not be liable in any manner, for any liability arising from any untrue, inaccurate, or incomplete information provided to us by you.

We provide the below mentioned ‘Advisory & Management’ Services through the Platform:

a. Business CFO Services;
b. Tax & Regulatory Services;
c. Risk Advisory & Management Services, and
d. Services on Public Policy.

User rights: By agreeing to be bound by these Terms, you are granted a personal, limited, non-exclusive, non-transferable and revocable right to access and use the Platform.

Use of Website: You agree and acknowledges that you shall:

i. not copy, reproduce, modify, distribute, post, publish, disseminate, create derivates of, sell or transfer any information obtained from the Platform, without express written authorization of TeamLogic or applicable third party (in relation to information or content of any third party that is displayed on the Platform);

ii. not access the Platform or attempt to access the Platform and its information through any manner, other than through the provided Platform interface;

iii. abide by all applicable laws, rules and regulations in your access and use of the Platform (including intellectual property laws);

iv. not interfere with or disrupt the use and enjoyment of the Platform by other Users;

v. not violate the legal rights of other Users of the Platform or TeamLogic;

vi. not impersonate the identity of any person or entity;

vii. not misrepresent your affiliation with any person or entity;

viii. not interfere with the operations or security of the Platform or its associated networks and servers; and

ix. not violate these Terms or the Policy, including any amendments or modifications thereto.

We reserve the right to take legal action, including by referring the matter to appropriate governmental authorities or initiating legal proceedings against the User, in the event of any breach of these Terms and/ or the Policy.

User Content: By posting, storing, or transmitting any content on the Platform (“User Content”), you hereby grant TeamLogic a perpetual, worldwide, non-exclusive, royalty-free, fully transferable, right and license to use, copy, display, perform, modify, create derivative works from, distribute, transmit, re-sell and assign User Content in any form. You agree, acknowledge and warrant that you own or control all rights to the User Content and that such User Content does not infringe upon the proprietary or other rights of any third parties. We reserve the right to remove or modify any User Content that we believe to be in contravention of these Terms or applicable law. You agree and acknowledge that you shall be solely responsible for any and all User Content provided on the Platform. It is hereby clarified that any and all information, including User Content as shared by the User with us, shall be governed by the Policy.

Third Party Links: We may also offer information, both directly and indirectly through links to third-party websites or marketing materials on our Platform. Any links to third-party websites are provided solely as a convenience to you. TeamLogic does not endorse the contents and or the products or services as provided on any such third party websites. You acknowledge that you are solely responsible for accessing and using these third party websites and relying upon any information pertaining to such third parties as available on the Platform, at your own risk. You agree and acknowledge that we shall not be liable for any loss or claim that you may have against such third parties. We do not hold any intellectual property rights in the information of any third parties.

Communication: Subject to the Policy, by accessing and using the Platform and providing information on the platform, you agree and consent to receiving call, emails, SMSs from TeamLogic. You may opt out of receiving communication from us, by writing to us at office@teamlogicglobal.com. We will process your request at the earliest. However, it may take us up to 7 (Seven) business days to complete your request.

All intellectual property including tradenames, trademarks, brand names, logos, domain names, copyrights, service marks, designs/ graphics/ features of the Platform and information provided on the Platform, unless specified otherwise in these Terms (“Intellectual Property”) is owned by Mr. Ashutosh Mahajan (Founder and Leader of TeamLogic), a resident individual, with office address at A-203, Bestech Parkview Spa Next, Sector 67, Gurgaon – 122101, Haryana, India (“Founder”). Such Intellectual Property has been licensed by the Founder to TeamLogic for use only.

Nothing contained herein grants the User with any rights in or any rights to use the Intellectual Property owned by the Founder and used by TeamLogic.

Your use of the Platform is at your own risk and the Platform is offered on an “as is” basis. We disclaim all warranties, whether express or implied, with respect to the Platform, Services, information, material, and content provided on the Platform, unless otherwise specified in writing. Without prejudice to the foregoing, we do not warrant that:

i. The Platform will be available at all times, or at all; and

ii. The information provided on the Platform is true, complete, accurate or non- misleading, except to the extent provided directly to the User by us.

It is hereby clarified that no information, material, or content provided by us on the Platform should be construed as advice by TeamLogic and we disclaim all warranties in this respect.

Some jurisdictions do not allow for exclusion of certain warranties, so some of the above exclusions may not apply to you.

We shall not be liable to you in any manner, in relation to the information, material and content provided on the Platform, use of the Platform, or otherwise in connection with the Platform.

We shall in no event be liable to compensate you or any third party for any direct, special, incidental, indirect, consequential, or punitive damages whatsoever, in relation to the information, material and content provided on the Platform, use of the Platform, or otherwise in connection with the Platform.

Some jurisdictions do not allow for limitation or exclusion of liability for incidental or consequential damages, so some of the above limitations may not apply to you.

You will release, indemnify, defend, and hold harmless TeamLogic and its contractors, agents, employees, officers, partners, affiliates, successors and assigns from all liabilities, claims, damages, costs, losses, and expenses, including reasonable attorneys’ fees and expenses, caused by, or arising out of claims based upon actions of the Users in accessing and using the Platform, including:

breach of your warranties, representations, obligations and/ or undertakings under these Terms or the Policy; and

Violation of any applicable laws, rules or regulations (including but not limited to violation of intellectual property laws, violation of proprietary rights or other rights of any third party).

Force Majeure: TeamLogic will not be deemed to be in default or held responsible for any cessation, interruption, or delay in the performance of its obligations hereunder due to any ‘force majeure events’, including fire, flood, acts of god, strikes, lockouts, riots, acts of the government, hacking, virus attack, etc.

Cessation of Operation: TeamLogic may at any time, in its sole discretion and without your consent or by providing an advance notice to you, cease operation of the Platform.

Entire Agreement: These Terms read with the Policy comprise the entire agreement between you and TeamLogic and supersedes any prior communications, representation or agreements pertaining to the subject matter contained herein.

Effect of Waiver: The failure of TeamLogic or the User to exercise or enforce any right or provision set forth in these Terms will not constitute a waiver of such right or provision.

Severability: If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the other provisions of the Terms shall remain in full force and effect. Further, these Terms may be revised to the extent necessary to correct such invalidity, illegality, or unenforceability.

Suspension: TeamLogic reserves the right to suspend your access to the Platform if it reasonably believes, in its sole discretion, that you have breached any of the terms and conditions as provided under these Terms. Following such suspension, you will not be permitted to use the Platform. If your access to the Platform is suspended, TeamLogic reserves the right to exercise whatever means it deems necessary to prevent unauthorized access of the Platform.

Assignment: You may not assign your rights and obligations under these Terms to anyone. TeamLogic may assign its rights and obligations under these Terms in its sole discretion and without obtaining your consent or by providing an advance notice to you.

Survival: Clauses 4, 5, 6, 7 and 10 of these Terms shall continue to remain in full force and effect indefinitely.

This Terms and the Policy are governed by the laws of India. The courts in New Delhi, India will have the jurisdiction with regards to any disputes arising from these Terms.
